Confidentiality Agreement

This Confidentiality Agreement (the “Agreement”) is entered into by and between Australian Career Pathways Pty Ltd (“Company”) and the undersigned party (“Recipient”), effective as of the date of the Recipient’s electronic signature.

1. Definition of Confidential Information

For purposes of this Agreement, “Confidential Information” includes all written, electronic, or oral information disclosed by the Company to the Recipient that is designated as confidential, including but not limited to business strategies, financial data, employee information, employer information, and any other proprietary information, as well as any information discussed during meetings or communications.

2. Obligations of Recipient

The Recipient agrees to:

Maintain the confidentiality of the Confidential Information.
Not disclose Confidential Information to any third party without the prior written consent of the Company.
Not distribute, share, or discuss Confidential Information with any external parties.
Use the Confidential Information solely for the purpose of evaluating or engaging in a business relationship with the Company.
3. Employer Information Disclosure Clause

The Recipient specifically acknowledges that any employer information disclosed by the Company is highly confidential and sensitive. The Recipient agrees to:

Not disclose, share, or distribute any employer information to any third parties without the explicit written permission of the Company.
Take all necessary measures to ensure that employer information is protected from unauthorized access or disclosure.
4. Exclusions from Confidential Information

Confidential Information does not include information that:

Is or becomes publicly known through no wrongful act of the Recipient.
Is received from a third party without breach of any obligation of confidentiality.
Is independently developed by the Recipient without use of the Confidential Information.
5. Return of Materials

Upon termination of the business relationship, or at any time upon the Company’s request, the Recipient shall return or destroy all materials containing Confidential Information.

6. No License

Nothing in this Agreement grants the Recipient any rights to or under any patents, copyrights, trade secrets, or other intellectual property of the Company.

7. Term

This Agreement shall remain in effect for a period of five (5) years from the date of the Recipient’s signature.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Queensland, Australia.

9. Electronic Signature

The parties agree that this Agreement may be electronically signed. The parties agree that the electronic signatures appearing on this Agreement are the same as handwritten signatures for the purposes of validity, enforceability, and admissibility.
